A bill aiming to shed light on the ownership of New York's limited liability companies (LLCs) has passed the state Legislature, but its future rests with Gov. Kathy Hochul. At present, LLCs setting up in New York can maintain anonymity as they are not required to disclose their or their company's names on official documents, including deeds. While certain information like a name and mailing address is mandated, the names behind the LLCs often remain elusive.

Push for Transparency

The bill mandates that LLCs doing business in New York reveal their beneficial owners—those who own at least 25% of the company or have significant control over it. The information would be compiled in a publicly accessible database maintained by the state's secretary of state. Hoylman-Sigal specifically highlighted the real estate industry as one that would be impacted by the bill.

Ownership Dynamics and Privacy Concerns

The legislation's impact is notable in New York, where LLCs are common vehicles for property ownership. This has led to many renters being unaware of their actual landlords. However, privacy concerns and security risks have been raised by opponents. The New York State Business Council, for instance, criticized the bill, asserting that it could expose various businesses to unnecessary vulnerabilities. They argued that this move could potentially be exploited to the detriment of small businesses.

Tenant Advocacy and Market Impact

Tenant advocacy groups such as Housing Justice for All support the bill as a means to help renters establish better contact with landlords. The additional transparency might also encourage landlords to be more accountable for property maintenance. Nevertheless, the Real Estate Board of New York and other organizations like the Rent Stabilization Association and the Community Housing Improvement Program have varying viewpoints on the legislation's benefits and implications.

Hochul's Decision

Though the bill's journey through the Legislature holds significance, its fate now depends on Gov. Hochul's decision. Advocates of the bill believe it could serve as a housing achievement for the governor, particularly following a legislative session with limited progress in the housing sector. The bill's broad spectrum of support beyond watchdog groups lends weight to its potential impact.
